LAYER X GROUP, LLC — TERMS & CONDITIONS
Effective date: October 22, 2026.
This document gathers all terms and conditions governing Layer X Group, LLC ("LXG") services in five parts: I. General Terms · II. LXG Client Access Membership · III. Content Production & Sessions · IV. Post-Production & Graphic Design · V. Digital Platforms, Management & Strategies. By contracting any LXG service or membership, the Client accepts this document in full together with the LXG Privacy Policy.
PART I — GENERAL TERMS
1. Definitions
"Client" means any individual, person in charge or business entity that requests or contracts services from Layer X Group, LLC ("LXG") and therefore accepts and agrees to comply with these terms and conditions. No person who has not contracted services with LXG is considered a Client.
"LXG" means Layer X Group, LLC, a Florida limited liability company, any member of its team and/or subcontractors providing the service. LXG declares it is able to provide the Client the services requested through the website layerx.group, email addresses ending in @layerx.group, the LXG client platform and portal, phone calls, text or WhatsApp messages, and other official channels.
2. Official Sources
The official sources of information for all LXG services and digital products are the website layerx.group, the LXG client platform, and documentation sent from @layerx.group email addresses or LXG's official phone line (727) 261-1141.
3. Quality
All media and services supplied by LXG will meet the applicable production standards. LXG commits to delivering every project at the highest quality that its resources, personnel and circumstances allow, aesthetically and technically consistent with the portfolio and references shown to the Client, while adding LXG's own creative style.
4. Quotes, Acceptance & Payment
All service requests must be made through digital means (email, the LXG platform, or official messaging channels). LXG will evaluate each request and issue a proposal, quote or invoice according to availability. The Client confirms acceptance of the terms, conditions and costs in writing (platform checkout, email, or invoice acceptance). Acceptance of these terms is implicit when requesting LXG services and is formalized with payment of the reservation, membership or invoice, or the signing of a service agreement where applicable.
5. Communications
All project communication runs through LXG's official channels. No LXG contractor, employee or representative will receive or execute instructions that do not come from LXG's administration, in order to protect the procedures previously contracted.
6. Changes to These Terms
LXG may update these terms at any time. The current version is published on layerx.group and applies from publication; continued use of the services implies acceptance of the updated terms.
7. Severability & Entire Agreement
If any clause of these terms is held invalid or unenforceable, that clause is deemed severable and the remaining clauses stay in full force.
These terms, together with the applicable LXG policy for each service (Membership, Content Production & Sessions, Post-Production & Design, Digital Platforms, Privacy), constitute the entire agreement between the Client and LXG regarding the contracted services and supersede any prior oral or written communication.
8. Governing Law
These terms are governed by the laws of the State of Florida, USA. Any dispute will first be addressed through good-faith dialogue and negotiation; if legal action is required, it will be brought before the courts of that jurisdiction.

PART II — LXG CLIENT ACCESS MEMBERSHIP
1. The Membership
LXG Client Access is a month-to-month membership of Layer X Group, LLC ("LXG"). It includes: full access to the LXG content resources platform; a one-time 2–3 hour Onboarding Coaching session with a custom objectives roadmap (covered by the setup fee); 4 monthly strategy sessions of 45 minutes each; member pricing on production projects; a private client portal for orders, files and deliverables; the trends & content resources library; and the OMNI AI Assistant when it becomes available. Membership benefits are personal to the Client's account and non-transferable.
2. Billing & Renewal
The membership is billed at $167/month plus a one-time $167 Setup & Onboarding fee charged with the first payment. It renews automatically every month until cancelled. The Client is responsible for keeping a valid payment method on file; failed payments may result in suspension of platform access and member pricing until payment is brought current.
3. What Membership Does Not Include
Membership does not include production work. Content formats, recording and aerial sessions, post-production, design and add-ons are quoted separately through the platform and are governed by the LXG Content Production & Sessions Terms and the Post-Production & Design Terms, which the Client also accepts when purchasing those projects.
4. Production Projects & Payment
Production projects are quoted in advance and paid 100% upfront at checkout; no project begins until payment is received in full. Any change requested by the Client that alters what was already accepted and implies additional cost will be treated as a change order and quoted separately.
5. Deliverables & Revisions
Each content format includes a first version delivered within 24–72 business hours and up to 3 official revisions submitted in writing. Additional revisions, or changes outside the original scope, are billed separately as change orders.
6. Strategy Sessions
Strategy sessions are scheduled by mutual availability through LXG's official channels. Sessions not used within their month do not roll over, do not convert into credit, and are not refundable. Rescheduling requires at least 24 hours' notice; a no-show forfeits that session.
7. Member Pricing
Member pricing applies only while the membership is active and in good standing. Projects quoted at member pricing and not paid before cancellation are re-quoted at standard rates.
8. Client Portal & Account
The Client is responsible for safeguarding portal credentials and for all activity under its account. Platform access is for the Client's own business use; access may not be shared with or resold to third parties.
9. Intellectual Property & Usage Rights
Creative direction, production style, working files, templates and concepts remain the intellectual property of LXG. Upon full payment, the Client receives usage rights to final deliverables for promotional and advertising purposes. Altering final deliverables in a way that generates new artistic product is prohibited without LXG's written consent; unauthorized use constitutes additional use and will be billed accordingly.
10. Team Protection
The Client agrees not to hire, contract, make job offers to, or solicit any LXG creator, editor, drone pilot, team member or resource introduced through the platform, during the membership and for 12 months after it ends. All project communication must be channeled through LXG.
11. Cancellation & Refunds
The Client may cancel anytime from the portal or by writing to info@layerx.group; access and benefits continue until the end of the paid billing period. Membership fees and the setup fee are non-refundable. Production payments are non-refundable once pre-production or work has started.
12. Suspension & Termination by LXG
LXG may suspend or terminate the membership immediately in case of breach of these terms, fraudulent or unlawful conduct, abuse of the platform or team, or failure to pay. Termination for breach does not generate refunds.
13. Limitation of Liability
LXG's total liability is limited to the amount paid by the Client for the specific project or, for membership benefits, to the current month's membership fee. LXG is not responsible for delays or failures caused by events beyond its reasonable control or by missing Client information, access or approvals.
14. Force Majeure
Neither party is liable for delays caused by force majeure, including severe weather, natural disasters, theft of production equipment, emergencies, pandemics or government regulations. Affected sessions are rescheduled without penalty.
15. Confidentiality
LXG and the Client will keep confidential any private or sensitive information shared during the relationship and after it ends.
16. Incorporated Policies
The LXG General Terms, Content Production & Sessions Terms, Post-Production & Design Terms, Digital Platforms Terms and Privacy Policy form an integral part of this agreement and apply to the corresponding services.
17. Changes, Governing Law & Contact
LXG may update these terms at any time. The current version is published on layerx.group and applies from publication; continued use of the services implies acceptance of the updated terms.
These terms are governed by the laws of the State of Florida, USA. Any dispute will first be addressed through good-faith dialogue and negotiation; if legal action is required, it will be brought before the courts of that jurisdiction.

PART III — CONTENT PRODUCTION & SESSIONS
General terms for content sessions, productions and data capture with cameras and drones. Effective date: October 22, 2026.
1. Scope of Services
The Client may order from LXG's production services, including: in-person/virtual consulting, photography capture, drone flights and aerial capture, video recording, and 360º captures. The detailed description and scope of each project is specified in the proposal, quote or platform order to guarantee transparency and mutual understanding.
2. Requests, Quotes & Acceptance
Requests are made through the LXG platform or digital channels. LXG evaluates and issues a proposal, quote or invoice according to availability. Pre-production work requires written confirmation and the initial payment (or full upfront payment for platform orders) to reserve resources and begin production.
3. Pre-Production
Pre-production includes concept development, brainstorming, storytelling, storyboards, treatments, waivers, preflight checklists, reference research, logistics coordination and the activity calendar. If pre-production begins and the project is not executed, initial payments are non-refundable due to the time and effort invested.
4. Creative Rights
Creative direction, production style and related intellectual elements are the exclusivity of LXG. Once concepts (including music selection) are accepted, post-production is completed on that basis; later changes are billed as change orders.
5. Logistics & Change Orders
Dates, times and locations are agreed in writing. Any modification requested by the Client that implies additional costs for LXG — including additional hours, re-shoots, or material changes — is a change order, will be quoted, and is added to final billing.
6. Production Days & Punctuality
LXG's booking platform or team confirms session dates and times by email or message; the Client is responsible for reviewing the confirmed details. LXG assumes the Client accepts the given date if no formal change request is received before the service is contracted.
The Client and its representatives, assistants, employees or talent must arrive with enough lead time for any preparation (makeup, wardrobe, props). Arriving up to sixty (60) minutes late may reduce the contracted service time and the deliverables generated in that time. Arriving more than sixty (60) minutes late may be considered a no-show: the session is forfeited and a new appointment must be paid in full, unless LXG, at its discretion, offers rescheduling, which may carry additional costs (staff hours, food, lodging, equipment rental, transportation).
If LXG is delayed, it will make up the lost time; if delayed more than 60 minutes, the Client may choose between recovering the time, rescheduling (subject to availability) or a refund of the amount paid for that session. If LXG cannot attend for reasons attributable to LXG, the Client may reschedule or receive a refund.
7. Rescheduling
Rescheduling by the Client is subject to LXG's availability and may generate additional costs up to the full value of the initial payments of the original booking.
8. On-Location Responsibilities
For sessions outside LXG facilities, the Client must notify its exact location/arrival to LXG staff. The Client is responsible for its personal belongings; LXG is not responsible for lost, damaged or forgotten items. Pets, props and special equipment are welcome if they pose no danger; the Client is solely responsible for any damage they cause and should carry its own public liability policy. LXG maintains its own liability policy exclusively for incidents caused by LXG's team and equipment.
9. Capture Criteria & Quality
LXG reserves the right to decide the maximum number of captures, takes and recording time, depending on location, time, space, talent and additional elements, repeating takes until the expected result is achieved. LXG commits to results aesthetically and technically similar to its portfolio and the references shown, adding its own creative style. The Client may request changes or revisions as included in the contracted terms for the project.
10. Wardrobe
The Client is responsible for appropriate wardrobe for the planned session. LXG may suggest a dress code but compliance is the Client's responsibility, and LXG's team is not obligated to follow a dress code for productions.
11. Force Majeure
Force majeure events include theft of the service equipment; weather conditions, floods, storms or hurricanes; death in the family, accidents or pandemic; earthquakes or other natural phenomena that could put lives at risk. In these cases the session is rescheduled without any surcharge.
12. Content Review, Delivery & Use
The Client may review content before final delivery and request reasonable modifications in writing; substantial revisions or changes outside the original scope carry additional charges. Digital content is delivered via cloud services (Drive/Vimeo) or the LXG portal. For printed products, orders are not processed until paid in full; shipping costs are the Client's responsibility and LXG's responsibility ends on delivery to the courier. Upon full payment the Client obtains usage rights for promotional and advertising purposes; copyright in the material remains with LXG unless a transfer of rights is agreed. Unauthorized alterations of final products are prohibited and billed as additional use.
13. Cancellations
If the Client cancels after pre-production has begun, initial payments are non-refundable. Cancellations after production has started may be subject to additional charges depending on progress and committed resources.
14. General
No LXG contractor, employee or representative will follow instructions that do not come from LXG administration.

PART IV — POST-PRODUCTION & GRAPHIC DESIGN
1. Definitions & Scope
Services include, but are not limited to: photo editing, video editing and montage of the stipulated duration, standard color correction/grading, licensed music and sound design, basic motion graphics, subtitles, graphic design, logos, brochures, banners, social media pieces, animations and 3D modeling. The detailed scope of each project is specified in the proposal, quote or platform order.
2. Revisions & Approvals
Each project includes the agreed number of official revisions per file or project (3 for membership content formats, unless otherwise stated), submitted in writing. Revision requests beyond the agreed number, or outside the original scope, are subject to additional charges determined by LXG.
3. File Delivery
Final files are delivered in the agreed formats via cloud (Drive/Vimeo) or the LXG portal, suitable for the agreed uses, with backup kept for 12 months after delivery.
4. Use of Finished Work
The Client agrees not to alter, edit or modify delivered final work without LXG's prior written consent. Unauthorized use of finished material or its derivatives may result in legal action and/or financial penalties.
5. Intellectual Property
LXG retains the intellectual property of all working files, intermediate work and concepts developed, unless a specific rights-assignment contract states otherwise. Upon full payment the Client receives all usage rights for the agreed purposes.
6. Team Protection & Communication
The Client may not make job offers to, directly hire, or enter any working relationship with LXG team members during the services and for one year after completion. All project communication is channeled through LXG. Meetings for review and improvement of deliverables are scheduled according to team availability.
7. Payment
Compensation is set in the proposal or platform order and must be paid under the specified terms (100% upfront for platform orders). Additional work not covered by the original proposal is billed separately.
8. Cancellations & Termination
If the Client cancels, deposits and payments are non-refundable once LXG has performed work related to the contracted service. LXG may terminate services immediately for breach of these terms, fraudulent or unlawful actions, or failure to pay on time.
9. Liability
LXG is not responsible for delays or delivery failures caused by circumstances beyond its reasonable control. LXG's liability is limited to the amount paid by the Client for the specific project.
10. Indemnification
The Client agrees to indemnify and hold harmless LXG and its team against any claim, legal proceeding, damage, liability, cost or expense (including reasonable attorney's fees) arising from misuse of the service or breach of these terms.
11. Confidentiality, Assignment & Force Majeure
Both parties will keep confidential any private or sensitive information shared during and after the project. The Client may not assign its rights or obligations without LXG's written consent; LXG may subcontract or delegate its obligations without prior consent. Neither party is liable for force-majeure delays (natural disasters, strikes, supply failures, government regulations, provider failures).
12. General
LXG may update these terms at any time. The current version is published on layerx.group and applies from publication; continued use of the services implies acceptance of the updated terms.
If any clause of these terms is held invalid or unenforceable, that clause is deemed severable and the remaining clauses stay in full force.
These terms are governed by the laws of the State of Florida, USA. Any dispute will first be addressed through good-faith dialogue and negotiation; if legal action is required, it will be brought before the courts of that jurisdiction.
By contracting LXG services the Client acknowledges having read, understood and accepted these terms. Contact: info@layerx.group · (727) 261-1141 · 400 North Tampa Street, 15th Floor, Tampa, FL 33602.
PART V — DIGITAL PLATFORMS, MANAGEMENT & STRATEGIES
1. Scope of Services
Services include, but are not limited to: development and execution of digital advertising campaigns; media buying and optimization on social networks, search engines and emerging platforms; creation and management of content (social posts, blog articles, graphic and audiovisual material); analysis and adaptation of content strategies based on audience behavior and data; web design and development, SEO, email marketing; campaign monitoring with continuous adjustments based on performance and KPIs; and strategic consulting to improve the Client's digital presence.
2. Client Information & Measurement
The Client commits to providing the information and access needed to develop effective strategies and measure results. LXG is not responsible for lack of results caused by the Client's failure to provide information or access; in the absence of measurement access, LXG is exempt from claims over unsatisfactory results.
3. Results Disclaimer
Projections are based on previous experience and the objectives agreed between LXG and the Client. Due to variability in business models, industries, measurement, algorithm changes and other aspects outside LXG's control, results are not guaranteed. If the Client is not satisfied, it must communicate it effectively and be open to adjusting strategy or objectives with LXG; if no agreement is reached, services end and LXG is released from any later claim.
4. Fees, Payments & Ad Budget
Fees are agreed in the proposal, quote or invoice and must be paid under the stipulated terms. When LXG manages the Client's advertising budget, applicable taxes are deducted per current law, and campaign funds must be recharged as agreed to avoid interruptions.
5. Accounts, Ownership & Access
LXG requires administrative access to relevant accounts to deliver its services. All accounts created for or provided by the Client belong to the Client, and LXG disengages from their management when the relationship ends.
6. Intellectual Property & AI
LXG retains the intellectual property of creative content, campaigns, methods and strategies; Client access to that IP may require additional agreements. Where LXG uses AI tools to generate content, the IP of the generated content belongs to LXG. The Client consents to LXG using campaign data (anonymized as needed) to train AI models; data generated during campaigns belongs to the Client. LXG complies with applicable laws on AI use, data protection, privacy and non-discrimination.
7. Confidentiality
Information provided is handled with strict confidentiality and is not shared without consent except as required by law. This obligation extends to data used in AI training, with security and anonymization measures protecting sensitive Client information.
8. No Solicitation, Storage & Independent Contractor
The Client agrees not to offer employment directly to LXG's team; violations may result in legal action. LXG may offer cloud storage for projects; physical storage requires Client-provided resources. LXG acts as an independent contractor; no employment relationship is created.
9. Refunds, Termination & Pricing
No refunds are given once service has started, except where LXG deems an exception appropriate. LXG may terminate the relationship for non-payment, conflicts or other justified reasons under these terms. Prices are subject to change with timely notice to the Client.
10. General
